Non-Disclosure & Confidentiality Undertaking

This Non-Disclosure and Confidentiality Undertaking (this "Undertaking") is entered into between you (the individual providing your details, "you" or "the Recipient") and the operator of Massage Directory SA together with the operator of the onward website to which you will be directed if you proceed (that onward website being referred to only as the "Click-Through Site"), together the "Disclosing Parties".

You are being given the opportunity to click through from Massage Directory SA to the Click-Through Site, where you may be given access to confidential and proprietary information. As a condition of being directed there, you agree to the following. Providing your details and ticking the acceptance box constitutes your electronic signature and forms a binding agreement.

1. Confidential Information

"Confidential Information" means any information, in any form, that you access, receive or observe on or through the Click-Through Site or in connection with being directed to it, including its existence, ownership, identity, business model, pricing, commercial terms, referral or rewards arrangements, listings, member and business contact details, data, know-how, systems, processes, and any non-public information about the Disclosing Parties or their users, whether or not marked confidential.

2. Your undertakings

In consideration of being granted access, you undertake that you will:

  • Keep all Confidential Information strictly confidential and not disclose it to any third party without prior written consent;
  • Use the Confidential Information solely for the purpose of your own genuine, personal consideration of the services offered, and for no other purpose;
  • Not copy, reproduce, scrape, harvest, extract, store, compile or distribute any Confidential Information, contact details or data of the Click-Through Site or its users;
  • Not use any Confidential Information to compete with, replicate, solicit the users of, or divert business from the Disclosing Parties or the Click-Through Site;
  • Not contact, solicit, harass or market to any business or member whose details you obtain, other than for a genuine individual enquiry; and
  • Comply with the Terms of Service of both Massage Directory SA and the Click-Through Site.

3. Non-disparagement and no defamation

You undertake that you will not publish, communicate or distribute any false, misleading, defamatory, disparaging or malicious statement about the Click-Through Site, Massage Directory SA, the Disclosing Parties, their operators, or any of their users or Listed Businesses. This clause does not prevent you from making truthful statements or exercising any right you cannot lawfully waive, but it does prohibit the publication of untrue or reputationally harmful content.

4. Acknowledgement and record

You acknowledge that the Disclosing Parties are relying on this Undertaking in granting you access, and that they may record and retain the details you provide (your name, contact number, email address, the date and time, and technical access data such as IP address) as evidence of your agreement to this Undertaking. These details are processed in accordance with the Protection of Personal Information Act, 2013 (POPIA) for the purpose of proving acceptance and protecting the Disclosing Parties' lawful interests.

5. Breach

You acknowledge that a breach of this Undertaking may cause the Disclosing Parties irreparable harm for which damages may not be an adequate remedy, and that they are entitled to seek urgent interdictory relief in addition to any other remedy available in law, including a claim for damages.

6. Duration

The obligations in this Undertaking take effect when you accept it and continue indefinitely in respect of all Confidential Information, surviving the end of your access to the Click-Through Site.

7. Governing law

This Undertaking is governed by the laws of the Republic of South Africa, and you submit to the jurisdiction of the South African courts.
